By accessing JPI Auto LLC's website, registering an account, submitting a Customer Broker Agreement, or using any of our services in any capacity, you confirm that you have read, understood, and agree to be legally bound by these Terms & Conditions, our Rules & Policies, and our Customer Broker Agreement. If you do not agree to any part of these terms, you must not use our services.

These Terms & Conditions apply to all users of JPI Auto LLC services, including registered customers, prospective buyers, and any party requesting consignment or vehicle purchasing assistance.

JPI Auto LLC is a licensed New York State Retail Motor Vehicle Dealer (Facility #7121472) operating as a purchasing broker for vehicle auctions. We are authorized to bid on and purchase vehicles at Copart, IAAI (Insurance Auto Auctions), Manheim, OPENLANE, ADESA, and Big Truck Salvage auctions on behalf of our customers.

JPI Auto LLC does not own, operate, or manage any auction facility. We do not own the vehicles listed or sold through these auction houses. Our role is solely that of a licensed broker/agent acting on the customer's behalf, subject to the rules and decisions of the applicable auction house at all times.

To use JPI Auto LLC's services, you must:

• Be at least 18 years of age.
• Be a legal resident or entity authorized to conduct business in the United States.
• Provide accurate, current, and complete information during registration, including your full legal name, mailing address, phone number, and email address.
• Submit a clear photo of the front and back of a valid, government-issued driver's license or equivalent photo ID.
• Sign a Customer Broker Agreement prior to any bid being placed on your behalf.

You are solely responsible for maintaining the accuracy of your account information. JPI Auto LLC is not liable for any loss, delay, or complication arising from inaccurate information you provide, including incorrect mailing addresses affecting title delivery.

Your account is personal and non-transferable. You may not share your account credentials, allow third parties to place bids in your name, or create multiple accounts. Violation of this provision may result in immediate account termination.

No bids will be placed on your behalf until all required documents have been received and verified by JPI Auto LLC.

JPI Auto LLC provides the following services on a fee-for-service basis:

• Researching and identifying vehicles available at Copart, IAAI, Manheim, OPENLANE, ADESA, and Big Truck Salvage auctions based on customer specifications.
• Bidding on vehicles at auction as the customer's authorized agent.
• Coordinating payment, title processing, and vehicle release on the customer's behalf.
• Optionally arranging vehicle transport at the customer's request and expense.
• Vehicle consignment services — listing and selling customer-owned vehicles through our auction network.

JPI Auto LLC acts solely as a licensed broker and purchasing agent. We are not a party to the sale between the auction house/seller and the customer. The auction houses' own terms, conditions, and decisions govern all auction transactions. JPI Auto LLC has no authority to override auction house decisions, including bid rejections, sale cancellations, or vehicle withdrawals.

By authorizing JPI Auto LLC to act as your purchasing agent, you acknowledge that all bids placed are binding on you, and that winning a bid obligates you to complete the purchase.

Dealer Commission Fee: JPI Auto LLC charges a flat dealer commission fee of $349.00 per vehicle purchased. This fee is:

• Fully refundable if no vehicle is purchased. Non-refundable once a vehicle has been successfully purchased at auction.
• Due and payable as part of the wire transfer prior to the vehicle being purchased.
• Separate from and in addition to the vehicle purchase price, auction buyer fees, and any applicable transportation or storage costs.
• Applicable to each individual vehicle transaction.

Payment Method: All payments to JPI Auto LLC must be submitted via wire transfer to our M&T Bank business account prior to any vehicle being purchased. Wire details are provided in your Customer Broker Agreement. JPI Auto LLC does not accept cash, personal checks, or third-party payments.

Total Wire Amount: The wire transfer must cover the full vehicle purchase price + $349 dealer commission fee + all applicable auction buyer fees. JPI Auto LLC will not release payment to the auction house until the wire has been received and cleared in full.

Auction Buyer Fees: You are solely responsible for understanding and paying all buyer fees charged by the applicable auction house. These fees are separate from JPI Auto LLC's commission and are determined by the auction house. Current fee schedules are available at:

Payment Timeframe: Full payment is due within 2 business days of winning a vehicle at auction. The payment must cover the full vehicle purchase price + $349 dealer commission fee + all applicable auction buyer fees.

Late Payment / Non-Payment: Failure to submit full payment within 2 business days will result in a 20% relist fee based on the winning bid amount, forfeiture of your security deposit, assessment of any additional relisting fees charged by the auction house, and suspension or termination of your account. JPI Auto LLC reserves the right to pursue any outstanding balance through available legal remedies.

Vehicle Pickup Timeframe: Vehicles must be picked up within 3 business days after payment is complete. If pickup is late, a storage fee of $85 per day will be charged to the buyer, in addition to any storage fees assessed by the auction yard.

Auction Payment Models: JPI Auto LLC uses two payment models depending on the auction platform. (a) Copart & IAAI — Deposit-Based: A refundable security deposit unlocks bidding power; the buyer pays the balance if a vehicle is won. (b) Manheim, OPENLANE & ADESA — Pre-Funded: These are binding, dealer-only wholesale auctions where winning bids cannot be reneged. For these platforms, the buyer must pre-fund the full amount (maximum authorized bid + all auction/buyer fees + the $349 commission) before JPI Auto LLC places any bid. JPI Auto LLC bids only up to the pre-funded amount. If no vehicle is won, the buyer's funds are refunded less a $55 refund processing fee. Once a bid is won at any of these platforms, the purchase is final and the buyer is obligated to complete it.

A security deposit is required before JPI Auto LLC will place any bid on your behalf. Your deposit establishes your maximum bidding power based on a 20% deposit — your deposit equals 20% of your buying power. Available deposit tiers are as follows:

Refund Policy: Your security deposit is fully refundable provided you have no active bids, pending purchases, or outstanding balances on your account. The following fees are non-refundable and will be deducted from any refund:

• A $35 outgoing wire transfer fee charged by our bank will be deducted from wire transfer refunds.
• A 3% card processing fee on any deposit paid by debit or credit card is non-refundable under any circumstances.

If you win a vehicle, your deposit is held until the purchase is paid in full and the vehicle has been released. JPI Auto LLC reserves the right to apply your deposit toward any unpaid balance owed, including vehicle purchase price, storage fees, or relisting charges. Deposits made by wire transfer may be applied toward the cost of a vehicle. You may increase your deposit at any time to expand your buying power.

All bids submitted by JPI Auto LLC on your behalf are legally binding. By authorizing a bid, you agree to purchase the vehicle at that price plus all applicable fees if your bid is the winning bid. You may not retract, cancel, or dispute a bid after it has been submitted.

The auction houses reserve the right to reject, void, or cancel any bid or sale at their sole discretion, including without notice. JPI Auto LLC has no authority to override these decisions and will not be held liable for any bid rejection or sale cancellation by the auction house.

JPI Auto LLC acts as the bidder of record. Auction results communicated to JPI Auto LLC by the auction house are considered final. JPI Auto LLC is not responsible for technology failures, connectivity issues, or other circumstances that may delay or prevent bid submission.

Any attempt to manipulate bids, engage in fraudulent activity, or misuse our services will result in immediate account termination and may be referred to appropriate legal authorities.

All vehicles sold through Copart, IAAI, Manheim, OPENLANE, ADESA, and Big Truck Salvage auctions are sold strictly "as-is, where-is" with no warranties expressed or implied. JPI Auto LLC does not inspect, test, recondition, or guarantee the mechanical condition, structural integrity, mileage accuracy, title status, or fitness for any purpose of any vehicle purchased through our services.

Vehicle descriptions, condition reports, photos, and damage assessments are provided by the auction houses and/or the selling parties. JPI Auto LLC does not verify or warrant the accuracy of this information. You are solely responsible for conducting your own due diligence, including reviewing all available vehicle history reports, condition reports, and photos, prior to authorizing a bid.

Once a vehicle is purchased, all sales are final. JPI Auto LLC will not process returns, exchanges, or refunds on any vehicle purchase under any circumstances.

JPI Auto LLC will receive the vehicle title directly from the auction house upon completion of purchase and will mail the original title along with a bill of sale to your address on file within 7 business days of receiving it. Title processing times vary by auction house and are outside JPI Auto LLC's control.

You are solely responsible for ensuring your mailing address on file is accurate and up to date. JPI Auto LLC is not responsible for titles lost or delayed due to incorrect address information provided by you.

You are responsible for all applicable title transfer fees, registration fees, and any taxes required by your state or jurisdiction upon receipt of the title. JPI Auto LLC does not handle registration on your behalf unless explicitly agreed to in writing.

Sales Tax: New York State residents are required to pay applicable sales tax directly to JPI Auto LLC at the time of purchase, calculated based on your county's sales tax rate. Out-of-state buyers are responsible for complying with their own state's tax obligations at the time of vehicle registration. JPI Auto LLC is not responsible for any tax liability arising after the vehicle has been transferred to you.

Once a vehicle is paid for in full, you are responsible for arranging pickup or transport from the auction facility within the timeframe required by that facility. Storage fees assessed by the auction yard after the allotted grace period are entirely your responsibility.

JPI Auto LLC is not responsible for vehicle shipping under any circumstances. If you request that JPI Auto LLC arrange shipping on your behalf, we will do so as a convenience only. Shipping fees will be quoted separately and must be paid in full before any shipping arrangements are made. JPI Auto LLC assumes no liability for damage, delay, or loss that occurs during transport by any third-party carrier.

Temporary Tags & Registration: JPI Auto LLC is not responsible for providing temporary tags, transit tags, or temporary registration of any kind. It is the buyer's sole responsibility to trailer the vehicle or to obtain proper registration or temporary permits from their home state prior to picking the vehicle up from the auction yard. Vehicles may not be legally driven from the auction facility without valid registration or temporary permits, and the buyer assumes all responsibility for compliance with applicable state and local laws.

You agree to release JPI Auto LLC and indemnify us against any liability arising from vehicle shipping, regardless of whether JPI Auto LLC assisted in arranging the transport.

JPI Auto LLC collects personal information — including your name, address, contact details, and government-issued ID — solely for the purpose of processing vehicle purchases and complying with applicable licensing and regulatory requirements. Your information will not be sold to third parties.

JPI Auto LLC may share your information with the applicable auction house(es) and, if applicable, with third-party shipping or transport providers you authorize, as necessary to complete your transaction.

You are responsible for keeping your account information accurate and up to date. You agree that JPI Auto LLC may communicate with you via the contact information you provide, including for invoices, transaction updates, and service-related notices.

Government-issued ID documents submitted to JPI Auto LLC are retained securely and used only to verify your identity as required by our dealer license obligations. These documents are not shared beyond what is required by law or regulation.

All content, branding, text, logos, and materials associated with JPI Auto LLC — including this website and all documents we produce — are the property of JPI Auto LLC or its licensors and are protected under applicable intellectual property laws. You may not reproduce, distribute, or use any JPI Auto LLC materials without prior written permission.

Vehicle listings, images, condition reports, and related content displayed through our service are the property of the respective auction houses. JPI Auto LLC does not claim ownership of third-party auction content.

JPI Auto LLC's services are provided on an "as available" basis. To the fullest extent permitted by applicable law, JPI Auto LLC expressly disclaims all warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

JPI Auto LLC does not warrant that our services will be uninterrupted, error-free, or free of defects. We do not warrant the accuracy, completeness, or reliability of any vehicle information, auction results, or third-party content made available through our services.

To the maximum extent permitted by law, JPI Auto LLC, its owner, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our services, including but not limited to:

• Loss of a vehicle purchase due to auction cancellation, bid rejection, or technical failure.
• Mechanical defects, undisclosed damage, or title issues discovered after purchase.
• Delays in title processing, shipping, or vehicle pickup.
• Storage fees, relisting fees, or other costs assessed by the auction house.
• Loss or damage during vehicle transport, whether or not arranged by JPI Auto LLC.

In all cases, JPI Auto LLC's total liability to you for any claim arising out of or relating to our services shall not exceed the amount of the dealer commission fee paid by you for the specific transaction giving rise to the claim.

You agree to defend, indemnify, and hold harmless JPI Auto LLC, its owner Joseph Prilutskiy, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising out of or related to:

• Your use of JPI Auto LLC's services.
• Your breach of these Terms & Conditions or the Customer Broker Agreement.
• Any bid you authorized that resulted in a purchase obligation you failed to fulfill.
• Any inaccurate information you provided during registration or in any agreement with JPI Auto LLC.
• Any dispute between you and an auction house, shipping provider, or other third party arising from a transaction facilitated by JPI Auto LLC.
• Your failure to comply with applicable tax, title, or registration laws in your jurisdiction.

JPI Auto LLC reserves the right to suspend or terminate your account and access to our services at any time, with or without notice, for any of the following reasons:

• Failure to pay for a vehicle you won at auction.
• Providing false or misleading information during registration or in any agreement.
• Attempting to manipulate auctions, defraud JPI Auto LLC, or abuse our services in any way.
• Creating multiple accounts to circumvent policies or restrictions.
• Any conduct that JPI Auto LLC reasonably believes violates these Terms or applicable law.

Upon termination, any outstanding balances owed to JPI Auto LLC become immediately due. Termination does not release you from obligations incurred prior to termination, including payment for vehicles already purchased on your behalf. JPI Auto LLC reserves the right to apply your security deposit to any outstanding balance before refunding any remainder.

These Terms & Conditions and all transactions facilitated by JPI Auto LLC are governed by the laws of the State of New York, without regard to its conflict of law provisions.

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or our services, both parties agree to first attempt to resolve the matter informally by contacting JPI Auto LLC directly at jpiautollc@gmail.com. If the dispute cannot be resolved informally within 30 days, either party may pursue available legal remedies in the appropriate courts of Oneida County, New York.

You waive any right to participate in a class action lawsuit or class-wide arbitration against JPI Auto LLC. Any claims must be brought on an individual basis.

Auction-related disputes — including bid rejections, sale cancellations, and vehicle condition disagreements — are governed by the respective auction house's own terms and policies. JPI Auto LLC has no authority to resolve or overturn auction house decisions and cannot be held liable for their outcomes.

JPI Auto LLC reserves the right to update, modify, or replace these Terms & Conditions at any time. When changes are made, the "Last Updated" date at the top of this page will be revised. We may, but are not required to, notify registered customers of material changes via email.

Your continued use of JPI Auto LLC's services after any modification to these Terms constitutes your acceptance of the updated Terms. If you do not agree with any changes, you must discontinue using our services and notify us to close your account.

JPI Auto LLC offers vehicle consignment services to customers wishing to sell their vehicle through our licensed auction network. The following terms apply to all consignment transactions:

Consignment Fees: JPI Auto LLC charges a flat consignment fee of $349 for vehicles that sell at or below $15,000. For vehicles that sell above $15,000, the fee is $349 plus 2% of the final sale price. For example, a vehicle selling for $20,000 would incur a total consignment fee of $749 ($349 + $400). The consignment fee is deducted from the sale proceeds — no upfront payment is required.

Additional Costs: Auction listing fees, gate fees, storage fees, and any other charges imposed by the auction house are the seller's responsibility and will be deducted from sale proceeds in addition to the consignment fee.

No Guaranteed Sale Price: JPI Auto LLC does not guarantee a minimum sale price. All vehicles are sold at auction to the highest qualified bidder. Sellers may request a reserve price subject to auction house policies.

Payment: Sale proceeds, net of all fees and auction charges, will be issued to the seller within 3–7 business days after the buyer's payment has cleared and all documentation is complete.

Vehicle Requirements: All consigned vehicles must have a valid title in the seller's name. JPI Auto LLC reserves the right to decline any vehicle that does not meet auction eligibility requirements.

JPI Auto LLC offers optional Copart and IAAI sub-accounts that register you as an Authorized Bidder operating under JPI Auto LLC's licensed dealer/business account. By registering for a sub-account, you acknowledge and agree to the following:

Authorized Bidder Status: You are not an independent Copart or IAA account holder. You are an authorized bidder acting under JPI Auto LLC's account, and all of your bidding, buying, and platform activity is conducted under, and remains the responsibility of, JPI Auto LLC's account.

Compliance with Auction Rules: You agree to fully comply with all Copart and/or IAA rules, policies, and terms of use at all times. Any violation may result in the immediate suspension or revocation of your access by either JPI Auto LLC or the auction house, without refund.

Owner Control: JPI Auto LLC retains full and sole authority to grant, restrict, suspend, or revoke your bidding and buying permissions at any time, for any reason. You agree that JPI Auto LLC's decisions regarding your sub-account are final.

Responsibility for Activity: You are responsible for all activity conducted under your sub-account credentials, including any vehicles bid on or purchased. You agree not to share your credentials or allow any third party to use your sub-account.

Fees & Deposit: The $399 annual sub-account fee is non-refundable. A refundable security deposit is required to unlock buying power, subject to the deposit and refund terms stated elsewhere in these Terms.

Indemnification: You agree to indemnify and hold harmless JPI Auto LLC from any claims, losses, fees, or damages arising from your use or misuse of the sub-account, or from any violation of auction rules or applicable law.
